Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you and Whiteflame Media LLC, a California limited liability company with its principal place of business at 1999 Harrison Street, Suite 1800, Oakland, CA 94612 ("Whiteflame", "we" or "us"). They govern your access to and use of the website at whiteflame.net, our applications and related services (the "Service"). Please read them carefully. By creating an account or using the Service you agree to be bound by these Terms and by our Privacy Policy.
§ One — The ServiceWhat Whiteflame is
Whiteflame is a curated, free short-film platform where independent filmmakers publish their work and where viewers can watch, follow and discuss those films. Watching on Whiteflame carries no charge, no paid subscription and no advertising; the site is a weekly editorial programme, not a commercial or financial product.
§ Two — EligibilityWho can use it
You may use the Service only if you are at least 13 years old (16 in the European Economic Area or the United Kingdom) and capable of forming a legally binding contract. If you use the Service on behalf of a company, you represent that you have the authority to bind that company to these Terms.
§ Three — Your accountCredentials & security
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information, to keep it up to date and to notify us immediately at security@whiteflame.net if you suspect unauthorised access.
§ Four — Acceptable useWhat you may not do
You agree not to use the Service to:
- upload or share content that is unlawful, infringing, defamatory, hateful, sexually explicit involving minors, or that incites violence;
- impersonate any person or entity, or falsely represent affiliation with a filmmaker or brand;
- circumvent, disable or interfere with security-related features, rate limits or access controls;
- scrape, reverse-engineer or create derivative works from the Service except where expressly permitted by law;
- distribute malware, phishing links or automated spam;
- use the Service in a manner that violates any applicable law or regulation.
We reserve the right, but are not obliged, to review content and to suspend or terminate accounts that breach these Terms.
§ Five — Your contentLicence for uploads
You retain all ownership rights in content you upload to the Service ("User Content"). By uploading User Content you grant Whiteflame a non-exclusive, royalty-free, worldwide licence to host, store, reproduce, distribute, publicly display, adapt (for format/quality only) and stream that User Content for the purpose of operating and promoting the Service. The licence lasts until the content is removed, but reasonable caching and backup copies may persist for a commercially reasonable period afterwards.
You represent that you own or have all necessary rights in the User Content, that it does not infringe any third-party rights, and that its use on Whiteflame is authorised.
§ Six — DMCACopyright notices
Whiteflame complies with the Digital Millennium Copyright Act (DMCA). If you believe content on the Service infringes your copyright, please send a notice to our designated agent:

Repeat infringers will have their accounts terminated in accordance with our internal strike policy.
§ Seven — Our IPWhiteflame marks & software
The Service, including all software, design, text, graphics and trademarks (other than User Content) is owned by or licensed to Whiteflame and is protected by intellectual property laws. Nothing in these Terms grants you any right to use the "Whiteflame" name or logos without prior written consent.
§ Eight — FeesWhat is free & what is not
The viewer-facing Service is free. Filmmakers and brand partners who sign a publishing agreement with Whiteflame may be charged fees described in that agreement; those fees are governed by the separate commercial contract and not by these Terms.
§ Nine — DisclaimersAs-is
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Whiteflame disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or free of harmful components.
§ Ten — LiabilityCaps & exclusions
To the fullest extent permitted by law, Whiteflame, its affiliates, officers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our aggregate liability for any claim arising out of or relating to the Service will not exceed one hundred US dollars (US$100) or the amount you paid us in the twelve months preceding the claim, whichever is greater.
§ Eleven — IndemnityHolding us harmless
You agree to defend, indemnify and hold harmless Whiteflame from any claim or demand, including reasonable attorneys' fees, arising out of your User Content, your use of the Service or your violation of these Terms.
§ Twelve — TerminationEnding the agreement
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. Sections 5 (licence, only for content still online), 6–12, and 14–16 survive termination.
§ Thirteen — ChangesAmendments
We may modify the Service at any time. Material changes to these Terms will be announced at least 14 days in advance by email or in-product notice. Continuing to use the Service after the effective date of the new Terms constitutes acceptance of the changes.
§ Fourteen — LawGoverning law
These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-law provisions. The exclusive venue for any dispute that is not subject to arbitration shall be the state and federal courts located in Alameda County, California.
§ Fifteen — ArbitrationClass-action waiver
Except for disputes that can be resolved in small-claims court, you and Whiteflame agree to resolve any dispute by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules. You and Whiteflame each waive any right to a jury trial or to participate in a class action. You may opt out of this arbitration clause within 30 days of creating your account by emailing legal@whiteflame.net.
§ Sixteen — MiscellaneousWhole agreement
These Terms, together with the Privacy Policy and Cookies Policy, constitute the entire agreement between you and Whiteflame. If any provision is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be a waiver of that right or provision.
